Buy-Side Financial Due Diligence

PRIMARY CONTACTS: Adam J. Goode CPA

Assessing and evaluating the opportunity to acquire a new business needs to be completed with swiftness, precision and discretion. Our professionals in the Business Advisory group at Schneider Downs are highly skilled to help you accomplish exactly that. Our team has decades of experience and has been involved in hundreds of successful transactions.

While our experience has revealed that no target is perfect, we will work alongside you to help examine the key value drivers of the target and how they align with your strategic vision. Our inquiries and analysis are designed to aid you in making an informed decision, and equip you with the knowledge to engage in effective negotiations; resulting ultimately in a fair purchase price for the value obtained.

Benefits of investing in buy-side financial due diligence with us include, but are not limited to, the following:

Accurate Valuation of the Target Company

By analyzing the target’s historical financial results, including the quality of earnings, and how they link with its future projections, provides important insight into the viability of the company going forward. As a part of our process, we look to identify potential unidentified earnings adjustments, which could result in a more precise valuation, and thus a more accurate price for the assets obtained. The analysis also includes a careful review of the target’s assets and liabilities, on and off its balance sheet.

Confidence and Clarity

The transactional process demands a healthy level of skepticism, but it also requires a clear head. We have found that the acquisition process tends to elicit a full spectrum of emotions for potential buyers. Our experience in the due diligence practice has trained us to remain focused and appropriately respond to information learned throughout the engagement, which allows us to obtain the answers to the buyer’s most important questions, bringing clarity to the opportunity and drowning out unnecessary noise.

Smooth Process

The amount of data and information that is requested during the due diligence period is substantial, and often significant time is needed just to manage these requests. We have the resources in place to simply, easily and securely allow for the exchange of information to take place in a timely and accountable manner from beginning to end.

If you are looking to acquire a company, engaging in buy-side financial due diligence is a prudent and necessary step to take in the evaluation process. Warren Buffett put it well, “Price is what you pay. Value is what you get.” We are here to help assure the value you acquire is a rewarding multiple of the price you pay.
